We have created this stem sharing platform (the “Platform”) to encourage creativity among artists, writers, and producers in hopes of assisting other independent artists with the creative process. I hope you will find that the recording stems made available via this platform (the “Stems”) are useful in your endeavors to create world class recordings of musical works. As I am sure you understand, however, I must make sure that the songwriters, artists, and music producers who took part in creating the Stems are protected.
By continuing to use this platform and indicating your acceptance by clicking the “I Accept” button below, you agree to the following terms and conditions with respect to a non-exclusive, non-transferable license to the use the audio recording stems made available via the Platform solely for the purpose of mixing the Stems with content that you own, control or otherwise have the right to incorporate and solely to: (A) reproduce, copy, mix and upload the resulting works (the “Works”) to the Platform for transmission to end users of the Platform and (B) reproduce, copy, mix and upload the Works to your social media Platforms for the transmission to end users, PROVIDED, HOWEVER, that the mixed file is embedded with metadata showing that the resulting work is identified as “featuring Angela Wright” with no less prominence that any other credit is provided. In no event are you to include the intellectual property of third parties in the Works (including, without limitation, samples or interpolations) without proper written permission from the administrator of the applicable work, nor shall the content that you create or distribute violate any other rights of any person, including the right of defamation. Your account shall be subject to immediate cancellation at any time should we, in our reasonable discretion, determine that you are violating these policies. These policies may be amended from time to time with or without notice to you and your continued use of the Platform shall indicate your acceptance of such new or modified terms. You hereby agree to defend, indemnify, and hold me, my associates and representatives and the Platform harmless from and against any actual or threatened claim that, if proven accurate, would be inconsistent with the foregoing.
You acknowledge and agree that nothing in this Terms of Service will be deemed to affect or limit our eligibility for any of the safe harbors available to providers of network services or information location tools under any laws anywhere in the universe (including 17 U.S.C. § 512 in the United States).
